The Code of Conduct of ReD Open
The present Code of Conduct was adopted by ReD Open s.r.l. on February 28th, 2019; any further specific rules of behaviour resulting from practice or local regulations may be included in specific codes of conduct to be adopted in addition to this Code.
Aims and definitions
The Code of Conduct expresses the commitments and the ethical responsibilities in the conduction of the business and of the activities of the company, to which any Addressee shall comply while performing their job duties.
The term Company refers to ReD Open s.r.l..
The term Addressee refers to the corporate bodies of the Company and their members, contractors, consultants, agents, employees and temporary staff, suppliers, partners and in general to all those with whom the Company may come into contact during the course of its activities.
We are inspired by values of impartiality, fairness, lawfulness and professional rigour aimed at preserving the integrity of the assets of the Company and safeguarding its respectability and image by respecting current regulations and maintaining clear and transparent relations with other economic subjects.
The Addressees shall comply with the provisions of the Code of Conduct as a contractual obligation of their engagement.
Infringement of the Code of Conduct constitutes a breach of the obligations arising from the employment contract or a disciplinary offence that may affect the continuity of employment itself and even lead to actions for damages.
The Company will not entertain consciously, either directly or indirectly, relationships of any kind with persons who violate the provisions of this Code.
ReD Open promotes and spreads the culture of individual responsibility towards digital change and innovation and of awareness of the variables that characterise the various personal and professional areas in which people act.
This vision also informs the relationships that the Company establishes with its employees and collaborators, its customers and with private and public institutions.
ReD Open promotes and realises the culture of individual responsibility for the governance of digital change and innovation in all contexts in which the person operates.
We believe that individual responsibility needs to be cultivated both in the social and corporate context in order to bring the person back, and keep him or her, at the centre of decision-making processes.
The individual must be able to respond critically to the challenges of digital and technological innovation, to actively participate in the design and implementation of change in the society in which s/he lives and in the company for which s/he works, and to take responsible decisions that directly affect him or her in the various contexts in which s/he operates.
This concept of individual responsibility also applies within ReD Open work environment where employees and temporary collaborators are encouraged to contribute to the Vision and Mission of the company in a personal and proactive way.

ReD Open applies the culture of individual responsibility also when performing consulting projects. For us, individual responsibility means responsibility of all levels of the company to define, design, plan and execute the strategic objectives of the company together. Such responsibility is even more needed to consciously face the challenges posed by digital change and innovation.
In particular, the Board should return to exercising its responsibility by taking the decisions useful to have and maintain the economic success of the company and to better organise its most valuable resources, starting from human resources.
Digital innovation: the perspective of ethics
ReD Open considers the ethical, legal, technological and socio-economic dimensions of problems and issues raised by digital innovation and change and promotes their balance, recognising that these dimensions are interdependent and often difficult to isolate.
The ethical dimension is of particular importance to us. We intend to support a set of values shaped on responsibility: the person, depending on the context in which s/he acts, should consider the impact that his or her behaviours and actions exert on the surrounding socio-economic ecosystem. Specifically, when deciding, planning and implementing changes and innovations with the potential to disrupt the usual reference patterns (personal, social, or corporate), an attitude of responsibility and awareness allows to distinguish between improving and enabling innovation and innovation for its own sake. The last only ends up detaching the technological tool from the real needs of people and therefore of companies and increasing the feeling of bewilderment in the face of change.
Technology as a tool
Technologies allow to increase flexibility, speed, productivity, quality and competitiveness of people’s work and, consequently, of the products and services that result from that work, benefiting the company as a whole. However, this can really happen only if the enterprise environment is open and collaborative, the board of directors has a clear vision and mission and there is shared awareness that the value of the company is given by differentiating elements that are not limited to the implemented technological innovations. Consider the role that education towards change, acquisition of new skills, and dissemination of knowledge play in making the company flexible and willing to change, evolve, and renew itself.
Those who govern the company should give meaning to digital technologies, which must fit into the broader framework of values and goals of the company and be understood by the staff who will apply them on a daily basis. In other words, digital innovation is a tool that should facilitate the achievement of the strategic objectives of the company.
People, for their part, should be put in a position to govern digital transformation in terms of their role and function so as to enhance their individual contribution to the creation of value for the company.
The enterprise is seen as an ecosystem, the fundamental functional unit in ecology: in fact, companies, as communities of people, behave as a set of living bodies, “and almost always ecosystems are open systems that have more or less intense exchanges of materials and energy with other ecosystems.”
Information and Communication Technologies have made it possible to rethink and innovate human, social and economic relations with results that are most often unexpected. The very concept of corporate perimeter has been revolutionised by digital transformation: beyond the physical walls that by law indicate its operational headquarters, the company exists and acts in a cybernetic space where business, customer relations and working relationships can now be entertained and carried out without the need to be physically in an office. A company that wishes to continue to be competitive and sustainable, shall recognise its cyber perimeter and safeguard it through appropriate technical and organizational security measures.
It is therefore important to define the map of the territory in which different forces are moving that favour or hinder mechanisms of integration and collaboration aimed at achieving the objectives that the company sets for itself. This map is useful to people to avoid automatic and unaware choices and giving unconscious consent to entrepreneurial initiatives based on profit at any cost, without respect for the talent of the individual. The map defines the balance between ethical, economic, technological, and legal dimensions, for the sake of a governance of the responsibility of the individuals that constitute the business community.

Protection and respect for the person
The Company protects the value of the human being. ReD Open rejects any discriminatory conduct, or any form of harassment or personal or sexual offense. The Company undertakes, therefore, to ensure that no form of discrimination based on age, sex, sexual orientation, race, language, nationality, political and trade union opinions, religious beliefs or other personal characteristics not related to work can be found in the work environment.
Protection of health and safety at work
The Company is committed to promoting a working environment in which they are guaranteed:
- The protection of safety, health, and integrity.
- The prevention of all types of discrimination.
- Respect for people as such and the activities carried out by them within the organisation.
- The application of the principles of merit and equal opportunities.
- The definition of roles, responsibilities, powers suitable for each employee to perform their duties in the interest of the Company.
The Company is committed to promoting a culture of safety, being aware of the risks and in compliance with current regulations on prevention and protection and promoting responsible behavior of any person involved.
Privacy and confidentiality
In the conduct of its business, the Company collects a significant amount of personal data and confidential information. The Company undertakes to process this information in compliance with all applicable laws and best practices applied with regard to confidentiality and privacy. In particular, the Company acts in the awareness that the right to the protection of personal data is a fundamental right the respect of which guarantees the protection of the freedom, security and dignity of the individual, beyond the rules that from time to time regulate its implementation.
All information, data, news that the Addressees become aware of or possess in relation to their employment or professional relationship are strictly confidential.
The Company, without prejudice to the legislation in force, adopts any measure aimed at reducing the environmental impact of its activities.
The Company is committed to implementing measures aimed at raising awareness and respect for the environment among the Addressees of the present Code.
The Company is committed to conducting its business activities in compliance with the principles of loyalty, fairness, integrity, and transparency.
Employees and temporary collaborators shall not pursue, in the performance of their work activities, personal interests in conflict with the interests of the Company. They shall not use, for their own benefit or for the benefit of third parties, either directly or indirectly, business opportunities intended for the Company.
Fight againts corruption
The Company considers fundamental for its activity the ability to do business with loyalty, integrity, fairness, and transparency abiding by laws, regulations and international customs. Addressees are required to strictly comply with domestic and international regulations on the fight against corruption, both in public and private sector.
It is prohibited to pay or offer, directly or indirectly, gifts, payments, material benefits and other advantages or utilities of any size to third parties, public officials (including foreign ones), public service employees or territorial entities, public employees or private individuals, to influence an act of their function, not even where these constitute tolerated custom or malpractice.
The Company appreciates the value of fair competition. It is therefore committed to exercising it, granting its competitors equal right as well as abiding by international and domestic legislation in force that guarantees fair competition.
Protection of intellectual property
The Company acts in full respect of the industrial and intellectual property rights legitimately held by third parties, as well as the laws, regulations and conventions, applicable in the EU and/or international context to protect such rights. The product of human ingenuity is fundamental for the functioning and differentiating value of the companies. The Company therefore undertakes to promote full respect for it in the performance of its activities and among its customers.
All Addresses, in the performance of their activities, must refrain from any conduct that may constitute usurpation of industrial property rights, alteration or counterfeiting of distinctive signs of industrial products, or of patents, designs or industrial models, both domestic and foreign, or infringement of intellectual property protected by copyright, as well as refrain from importing, marketing or otherwise using or distributing industrial products with distinctive signs that are counterfeit, mendacious or altered, or made by usurping the rights of third parties.
